Abstract

This essay aims at showing andcharacterizing modes and legal instrumentsof enterprise transferring highlighting thatwhich, according to me, is the future crucialdistinction in its legal dogmatic constructionas well as in its legislative treatment, that is,the distinction between “asset deals” and“share deals”.
